Nocveel is an audience data tool that enables real estate companies and agents to find high-quality prospects by providing them with high-quality audience data. Our Services enable customers to:

• Access data (information) of people living in specific regions

• Identify high-quality prospects

To access and use Nocveel, you must meet the following eligibility criteria:

• You must be at least 18 years of age

• You must be a real estate professional, real estate brokerage, property developer, real estate investment firm, or other organization engaged in legitimate real estate activities

• You must have the legal capacity to enter into a binding agreement under applicable law

• You must not be prohibited from receiving or using our Services under any applicable law or regulation

• You must not have been previously suspended or removed from our platform for violation of these Terms

Nocveel is a business-to-business (B2B) tool. Our Services are not intended for personal, household, or consumer use. By using Nocveel, you confirm that you are accessing the tool in a professional or commercial capacity.

Subject to your compliance with these Terms and timely payment of applicable fees, Nocveel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal, legitimate real estate business purposes.

Permitted Activities:

• Searching for and reviewing data generated by the tool

• Exporting data in accordance with your subscription tier and applicable data export limits

• Integrating Nocveel's data with your organization's AI platform, internal CRM, and prospecting tools

• Generating reports for internal business development use

• Using AI-generated insights to inform, not replace, your professional judgment and outreach

All rights not expressly granted in these Terms are reserved by Nocveel.

You agree not to use the Services in any manner that:

• Violates any applicable local, national, or international law or regulation, including data protection and privacy laws (e.g., GDPR, CCPA, NDPR)

• Involves reselling, sublicensing, or redistributing Nocveel data or Services to third parties without prior written consent

• Involves scraping, harvesting, or bulk downloading data beyond the permitted scope of your subscription

• Attempts to reverse engineer, decompile, or extract the source code of any part of our platform

• Uses Nocveel audience data for unsolicited mass communications, spam, or harassment

• Involves using the Services to engage in unlawful discrimination based on race, gender, religion, nationality, or any other protected characteristic

• Introduces viruses, malicious code, or otherwise attempts to interfere with the integrity or security of the platform

• Circumvents or attempts to bypass any access controls, authentication mechanisms, or usage limits

• Misrepresents your identity, affiliation, or the purpose of your data access

• Uses the Services for any purpose that competes with Nocveel's business without prior written authorization

Nocveel reserves the right to investigate violations and take appropriate action, including suspending or terminating your account and reporting conduct to law enforcement authorities.

Nature of AI-Generated Insights

Nocveel uses artificial intelligence, machine learning models, and data aggregation technologies to compile audience data. You acknowledge that:

• Nocveel does not guarantee the accuracy, completeness, or fitness for a specific purpose of any data or insights provided

• You are solely responsible for how you use Nocveel data and for verifying information before acting on it

Responsible Use of Audience Data

Audience data provided through the Services relates to individuals and businesses. You agree to use such data responsibly, ethically, and in compliance with all applicable data protection laws. You may not use audience data to harass, intimidate, or unlawfully target any individual.

Your Data

Data you upload to or generate within the platform ("User Data") remains your property. You grant Nocveel a limited license to process your User Data solely to provide and improve the Services. See our Privacy Policy for full details.

Subscription Plans

Access to Nocveel's full feature set requires a paid subscription. Subscription plans, features, and pricing are detailed on our website. Nocveel reserves the right to change pricing with at least 30 days' written notice to existing subscribers.

Billing

Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. By providing payment information, you authorize Nocveel (or its payment processor) to charge the applicable fees on the agreed billing schedule.

Overdue Payments

Failure to pay fees when due may result in suspension or termination of your access to the Services. Nocveel reserves the right to charge interest on overdue amounts at the maximum rate permitted by applicable law.

Cancellation

You may cancel your subscription by sending an email to Nocveel via hello@nocveel.com. Make sure to send the email before your subscription expires / before the next billing cycle.

Refund

All content, features, functionality, software, data models, AI systems, design elements, and technology comprising the Services are owned by Nocveel or its licensors and are protected by applicable intellectual property laws.

The Nocveel name, logo, and all related trademarks, service marks, and trade names are the exclusive property of Nocveel Limited. You may not use our branding without prior written consent.

Nothing in these Terms transfers any intellectual property rights to you. Your use of the Services does not grant you ownership of any content or data generated by Nocveel, except for User Data you have submitted.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Nocveel disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Nocveel does not warrant that:

• The Services will be uninterrupted, error-free, or free from security vulnerabilities

• Audience data or insights will be accurate, complete, or up-to-date

• Any particular result or outcome will be achieved through use of the Services

• The Services will meet your specific business requirements

You use the Services at your own risk. Nocveel is not a legal, financial, or investment adviser, and nothing on our platform constitutes professional advice of any kind.

To the maximum extent permitted by applicable law, Nocveel, its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, loss of data, or reputational harm — arising out of or in connection with your use of or inability to use the Services.

In no event shall Nocveel's total aggregate liability to you for any claims arising under these Terms exceed the greater of: (a) the total fees paid by you to Nocveel in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred thousand Naira (₦50,000).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, Nocveel's liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Nocveel and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services in violation of these Terms

• Your violation of any applicable law or the rights of any third party

• Any User Data you submit to the platform

• Your use of audience data in a manner that causes harm to any individual or organization

Nocveel reserves the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense.

Termination by You

You may terminate/cancel your subscription at any time by contacting Nocveel via hello@nocveel.com. Termination will take effect at the end of your current billing period, and you will retain access to the Services until that date.

Termination by Nocveel

We may suspend or terminate your subscription at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law.

Effect of Termination

Upon termination, your license to use the Services ceases immediately. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — shall survive.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria (and, where applicable, relevant international standards), without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to binding arbitration in Lagos, Nigeria, in accordance with applicable arbitration rules.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

Nocveel reserves the right to amend these Terms at any time. We will notify you of material changes via email or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the revised Terms.

If you do not agree with any changes to these Terms, you must stop using the Services and cancel your subscription before the changes take effect.
